1. Acceptance of Terms

By accessing or using Connex ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Platform. We reserve the right to update these terms at any time, and your continued use constitutes acceptance of any changes.

2. Eligibility & Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use Connex. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate information when creating your account.

3. Creator Obligations

• Provide truthful and accurate profile information, including portfolio and social media details.
• Deliver agreed-upon work in good faith and within communicated timelines.
• Communicate professionally and respectfully with businesses and other users.
• Comply with all applicable laws and regulations related to content creation and advertising.

4. Business Obligations

• Provide truthful offer descriptions, including compensation, deliverables, and timelines.
• Deal fairly and in good faith with creators who apply to or accept offers.
• Communicate professionally and not engage in misleading, deceptive, or exploitative practices.
• Honor commitments made through the platform, including agreed-upon compensation.

5. Marketplace Nature

Connex is a marketplace that facilitates connections between creators and businesses. We do not guarantee any specific outcomes, including but not limited to the number of applications, matches, collaborations, or revenue generated through the platform. Relationships formed through Connex are between the respective creators and businesses.

6. Payments & Compensation

Connex operates a credit-based wallet system to facilitate compensation between businesses and creators. By using the platform, you agree to the following financial terms:

• Business Wallets: Businesses fund their platform wallet through the Connex team. Campaign budgets are reserved from the business wallet when a creator is accepted for a campaign.
• Creator Earnings: Creators earn compensation based on verified content performance using a cost-per-thousand-impressions (CPM) model. The current creator CPM rate is $6 per 1,000 verified views.
• Performance Verification: Earnings are calculated after a 7-day performance verification window following content publication. View counts are verified through the platform before earnings are settled.
• Platform Fee: Connex retains a platform service fee, which is the difference between the total campaign CPM rate and the creator CPM rate. This fee covers platform operation, support, and infrastructure.
• Creator Payouts:Settled earnings are credited to the creator's platform wallet. Withdrawal and payout arrangements are managed through the platform.
• Refunds & Disputes:Budget reserved for a campaign may be released back to the business wallet if a project is abandoned or if a dispute is resolved in the business's favor. Connex reserves the right to mediate financial disputes at its sole discretion.

7. Prohibited Behavior

You agree not to:

• Use the platform for any unlawful purpose or in violation of these terms.
• Misrepresent your identity, qualifications, or affiliation.
• Harass, threaten, or abuse other users.
• Attempt to gain unauthorized access to other accounts or platform systems.
• Scrape, crawl, or use automated tools to extract data from the platform.
• Post spam, misleading content, or unsolicited promotions.

8. Termination

We reserve the right to suspend or terminate your account at our discretion if you violate these terms or engage in behavior that is harmful to other users or the platform. You may also delete your account at any time by contacting us.

9. Limitation of Liability

Connex is provided "as is" without warranties of any kind. To the fullest extent permitted by law, Connex shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including but not limited to loss of revenue, data, or business opportunities.

10. Changes to Terms

We may modify these Terms of Service at any time. Material changes will be communicated through the platform or via email. Your continued use of Connex after changes are posted constitutes your acceptance of the updated terms.
